PREAMBLE
We, members of E-WASTE LIEF FOUNDATION a non-profit-making and non- political organization do firmly and solemnly resolve to provide for ourselves a constitution and to be guided by the provisions therein contained.
ARTICLE 1: NAME
The name of the Foundation is ‘INCORPORATED TRUSTEES OF E-WASTE RELIEF FOUNDATION
ARTICLE 2: ADDRESS
The address of the Foundation shall be 2, Ibikunle close off Herbert Macaulay way, Yaba, Lagos state.
ARTICLE 3: AIMS & OBJECTIVES
The aims and objectives of the Foundation are:
- To monitor the disposal of electronic waste in Nigeria and where necessary, recommend appropriate policies for effective handling and disposal.
- To protect the environment from dangerous elements like led and other
- harmful elements which are constantly released into the atmosphere as a result of improper disposal of electronic waste in Nigeria.
- To promote and create grass root involvement with the aim of protecting and developing communities as well as creating job opportunities for young school leavers who would serve as E waste collectors.
- To provide nationwide environmental capacity building and technology support in the collection, handling and disposal of e-waste in Nigeria.
- To create and promote green initiative/programs that will improve environmental protection and sustainability and also take care in Nigeria.
- To create an eco-system of stakeholders (i.e Government, Industry, Academia and civil society etc.) geared towards partnership and collaboration opportunities with the aim of solving the electronic waste crises in Nigeria.
ARTICLE 4: TRUSTEES
Such Trustees (hereinafter referred in as “The Trustees) shall be Seven (7) in number and shall be known as “THE REGISTERED TRUSTEES OF E- WASTE RELIEF
A Trustee may hold office for life but shall cease to hold office if he:
- Resigns his office
- Ceases to be a member of the registered trustees of the
- Becomes insane
- Is officially declared bankrupt
- Is convicted of a criminal offence involving dishonesty by a court of competent
- Is recommended for removal from office by a board of governors and trustees majority vote of members present at any General Meeting of the
- Ceases to reside in Nigeria
Upon a vacancy occurring in the number of trustees a General Meeting will be held to appoint another eligible member of the foundation
ARTICLE 5: COMMON SEAL
- The trustees shall have a common seal
- Such common seal will be kept in the custody of the Secretary who shall produce it when required for the use by the
- All documents to be executed by the trustees shall be signed by such number of them and sealed with the common
ARTICLE 6: MEETINGS
For effective administration of the Foundation there shall be the following meetings:
- The Annual General Meeting shall be the supreme body of the Foundation
- The Annual General Meeting shall hold in the month of September every year at a place decided by the
- The Agenda of the Annual General Meeting shall be prepared by the Executive
- All Executive officers shall present reports of their activities at each Annual General
6.2 QUOROM
The Quorum for all meetings of the Foundation and its various and committee shall be two-third of the membership.
ARTICLE 7: GOVERNING BODY
- The President
- The Vice President
- The Secretary
- Assistant Secretary
- The Treasurer
- The Financial Secretary
- Publicity Secretary
- The Auditor
ARTICLE 8: SOURCES OF INCOME
The Sources of income for the Foundation shall include:
- Donations from members
- Donation from any other individuals, companies, entities and organizations desiring to make such gifts to the Foundation, registration fees.
ARTICLE 9: DISBURSEMENT AND APPLICATION OF FUNDS
- The Foundation shall keep up to date records of the Foundation assets and liabilities and all the Foundation financial
- The accounts of the Foundation shall be audited not later than 3 months after the end of the financial year by auditor’s approved by the board of

- The funds of the foundation shall be used to achieve the aims and objectives of the foundation.
ARTICLE 10: KEEPING OF ACCOUNTS
- The Foundation shall have account with any bank in Nigeria. The Foundation shall ensure the accurate keeping of records.
- The Foundation shall ensure the accurate keeping of record of all income and expenditure.
ARTICLE 11: APPOINTMENT OF AUDITORS
- Independent qualified and licensed Auditors shall be appointed by the general meeting to audit the financial records of the Foundation annually and submit an Audited report to the Annual General Meeting of the
- The audited financial statements (balance sheet and income and expenditure account) duly certified by independent auditors shall be annexed to the annual returns and file with the Corporate Affairs Commission.
ARTICLE 12: AMENDMENT OF CONSTITUTION
The Foundation shall have the power to add, amend and resumed delete or reverse any further regulations to the approval of at least two-thirds majority of the entire members of the Foundation at the Annual General Meeting. Any amendments then will be forwarded to the Registrar General, Corporate Affairs Commission.
MEMBERSHIP
E-WASTE RELIEF FOUNDATION is a non-political, now-religious, non-ethnic and non-profit-making Initiative, membership of the initiative, screened and vouched for to be of good character and known to be interested in the aims and aspirations of the Initiative. And such a person(s) shall be admitted in accordance with the practice and conventions of the Initiative.
ARTICLE 13: SPECIAL CLAUSE
- The income and property of Whosoever derived shall be applied solely towards the promotion of the objects of E-WASTE RELIEF FOUNDATION set aside by the club in the RULES AND REGULATIONS/CONSTITUTION, and no portion thereof shall be paid or transferred directly or indirectly by way of dividend, bonus or otherwise howsoever by way of profit to the members of E-WASTE RELIEF FOUNDATION.
- Provided that nothing herein shall prevent the payment at good faith or reasonable and proper remuneration to any officer or servant of E-WASTE RELIEF FOUNDATION But so that no member of the council of the Management of Governing Body shall be appointed to any salaried officer or Paid by fees and that no remuneration or other benefit in money or money shall be given by E-WASTE RELIEF FOUNDATION to any member of such Council or Governing Body except repayment if out-of-pocket expenses or reasonable and proper rent for premises demised, or let to the initiative provided that the provision last aforesaid shall not apply to any payment of any Company to a member of E-WASTE RELIEF FOUNDATION be may be a Company in which such members shall not hold more than one hundredth part of the capital and such Member shall not be bound to account for, share of profits he may receive in respect of any such
- No addition, alteration, or amendment shall be made to the RULES AND REGULATIONS/CONSTITUTION for the time being in force, unless the same have been previously submitted to and approved by the Registrar
- In the event of the winding up or dissolution of E-WASTE RELIEF FOUNDATION there remains after the satisfaction of all its debt and liabilities, any property whatsoever the same shall not be paid to or distributed among the members of the initiative but shall be given to or transferred to other institution or institutions, having object similar to the objects of the E-waste Relief Foundation and the body or bodies are prohibited from distributing its or their income and property amongst its or their members to an extent at least as great as is imposed on the initiative under or by virtue of the Special Clause hereof such institution or institution to be determined by the member of E-WASTE RELIEF FOUNDATION Effects cannot be given to the aforesaid provision then to some charitable object
